Terms of Service

Welcome to Fireside AI, Inc. ("Fireside AI," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of our website at www.afireside.ai, our platforms including Olympus-BAOS™ and its 13 integrated modules, and all related AI Agentic development and consulting services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. If you do not agree to these Terms, you must not access or use our Services.

Fireside AI provides the following services:

• AI Agentic Development: Design, development, and deployment of autonomous AI agent systems and multi-agent architectures
• Olympus-BAOS™ Platform: A Business Automation Operating System featuring 13 integrated AI modules (HERA™, HERMES™, ATHENA™, HEPHAESTUS™, APOLLO™, PLUTUS™, HELIOS™, ALEA™, ARTEMIS™, DIONYSUS™, IRIS™, MUSE™, METIS™) designed for business automation and operational intelligence
• AI Consulting: Strategic consulting services for companies seeking to integrate AI into their business operations
• Platform Products: Builder's Life OS™, REHACTS™, Climate Insight Research Platform™, Fiscal Guard™, DANA™, and Agentic AI™

Certain features of our Services may require you to create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security and confidentiality of your login credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe are being used for unauthorized purposes.

4.1 Ownership

All intellectual property rights in and to the Services, including but not limited to software, code, algorithms, designs, logos, trademarks, trade names, service marks, and content, are owned by Pyraxis Holdings™ and/or Fireside AI, Inc. These Terms do not grant you any right, title, or interest in our intellectual property except as expressly stated herein.

4.2 Trademarks

The following are trademarks of Pyraxis Holdings™: Fireside AI, Olympus-BAOS™, HERA™, HERMES™, ATHENA™, HEPHAESTUS™, APOLLO™, PLUTUS™, HELIOS™, ALEA™, ARTEMIS™, DIONYSUS™, IRIS™, MUSE™, METIS™, Builder's Life OS™, REHACTS™, Climate Insight Research Platform™, Fiscal Guard™, DANA™, Agentic AI™, Athena Publishing™, and Pyraxis Holdings™. You may not use these trademarks without our prior written consent.

4.3 Client Work Product

Unless otherwise specified in a separate written agreement, all custom development work, configurations, and implementations created by Fireside AI for clients during consulting engagements shall be governed by the terms of the applicable service agreement. Fireside AI retains ownership of all proprietary methodologies, frameworks, tools, and pre-existing intellectual property used in the delivery of services.

You agree not to use our Services to:

• Violate any applicable local, state, national, or international law or regulation
• Infringe upon the intellectual property rights of Fireside AI, Pyraxis Holdings™, or any third party
• Transmit any malicious code, viruses, or harmful software
• Attempt to gain unauthorized access to our systems, networks, or data
• Interfere with or disrupt the integrity or performance of our Services
• Reverse engineer, decompile, or disassemble any aspect of our software or platforms
• Use our Services to develop competing products or services
• Scrape, harvest, or collect data from our Services without authorization
• Impersonate any person or entity or misrepresent your affiliation
• Use our AI systems for any unlawful, harmful, or discriminatory purpose

6.1 Olympus-BAOS™ Platform

The Olympus-BAOS™ platform utilizes a separated database architecture designed to meet all international regulations. Each client's data is isolated and protected. Use of the Olympus-BAOS™ platform is subject to the following additional terms:

• Client data remains the property of the client, subject to our right to use anonymized, aggregated data for platform improvement
• AI module configurations and automations are subject to fair usage policies
• Platform availability targets are defined in individual service level agreements (SLAs)
• Fireside AI reserves the right to modify, update, or discontinue individual modules with reasonable notice

6.2 AI Agent Services

Our AI Agentic services involve autonomous AI systems that analyze, decide, and execute tasks. While we strive for accuracy and reliability, AI systems may produce unexpected results. You acknowledge that:

• AI-generated outputs should be reviewed by qualified personnel before implementation
• Fireside AI is not liable for decisions made based solely on AI-generated recommendations
• AI systems are continuously improved and may change behavior over time

Consulting engagements with Fireside AI are governed by individual service agreements that supplement these Terms. In the event of a conflict between these Terms and a specific service agreement, the service agreement shall prevail with respect to that engagement.

Consulting services may include but are not limited to: strategic AI assessment, workflow automation design, platform implementation, training, and ongoing support. Specific deliverables, timelines, and fees are defined in individual statements of work.

Fees for our Services are as specified in the applicable service agreement, order form, or subscription plan. Unless otherwise stated:

• All fees are quoted in United States Dollars (USD)
• Payment is due within the timeframe specified in the applicable invoice
• Late payments may be subject to interest at the rate of 1.5% per month or the maximum rate permitted by law, whichever is less
• All fees are non-refundable unless otherwise specified in writing
• We reserve the right to modify pricing with 30 days' written notice

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of the business relationship. Confidential information includes, but is not limited to, business strategies, technical specifications, client data, financial information, and any information marked as confidential.

This obligation of confidentiality shall survive the termination of these Terms for a period of three (3) years, unless the information becomes publicly available through no fault of the receiving party.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FIRESIDE AI, INC., PYRAXIS HOLDINGS™, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE OUR SERVICES.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

We do not warrant that our Services will be uninterrupted, error-free, or completely secure. We do not warrant that AI-generated outputs will be accurate, complete, or suitable for any particular purpose.

You agree to indemnify, defend, and hold harmless Fireside AI, Inc., Pyraxis Holdings™, and their respective officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of our Services
• Your violation of these Terms
• Your violation of any applicable law or regulation
• Your infringement of any third-party rights
• Any content or data you submit through our Services

We may terminate or suspend your access to our Services at any time, with or without cause, upon reasonable notice. You may terminate your use of our Services at any time by discontinuing access and notifying us in writing.

Upon termination, your right to use the Services will immediately cease. Sections relating to intellectual property, limitation of liability, indemnification, confidentiality, and governing law shall survive termination.

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States of America, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or our Services shall first be attempted to be resolved through good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may submit the dispute to binding arbitration in Sheridan County, Wyoming, in accordance with the rules of the American Arbitration Association.

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website with a revised effective date. Your continued use of our Services after any modifications constitutes your acceptance of the updated Terms.

For clients with active service agreements, material changes to these Terms will be communicated via email at least thirty (30) days prior to taking effect.

• Entire Agreement: These Terms, together with any applicable service agreements, constitute the entire agreement between you and Fireside AI regarding the Services.
• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
• Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
• Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
• Force Majeure: Neither party shall be liable for any failure to perform due to causes beyond its reasonable control, including natural disasters, acts of government, or disruptions to internet infrastructure.
